Terms of Service
Last updated: August 1, 2026
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between XpediOo ("XpediOo", "we", "us", or "our") and you ("User", "you", or "your") governing your access to and use of the XpediOo enterprise AI platform, including any associated websites, applications, APIs, and services (collectively, the "Service").
By accessing or using the Service, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms in full. If you are accessing the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, do not access or use the Service.
2. Description of Service
XpediOo is an enterprise AI platform that provides, among other capabilities, AI-powered IT Service Management (ITSM), Governance, Risk and Compliance (GRC), Human Capital Management (HRMS), Endpoint Vulnerability Management, Field Service Management, Agentic Studio, and related automation features. The specific features and capabilities available to you depend on the subscription tier and enterprise agreement applicable to your organisation.
We reserve the right to modify, add, or remove features of the Service at any time. We will provide reasonable notice of material changes affecting enterprise subscribers.
3. Accounts and Access
3.1 Account Credentials
Access to the XpediOo platform requires authentication credentials issued by your organisation's designated administrator. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect unauthorised access to your account.
3.2 Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms.
- Attempt to gain unauthorised access to any part of the Service or its underlying systems.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Use automated scripts, bots, or scraping tools to extract data from the Service without our express written consent.
- Introduce malware, viruses, or other harmful code into the Service.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Resell, sublicense, or otherwise transfer access to the Service without our written authorisation.
- Use the Service to process data in a manner that violates applicable data protection laws.
4. Intellectual Property
4.1 Our Intellectual Property
The Service, including all software, algorithms, AI models, workflows, user interfaces, documentation, and content (excluding Customer Data), is the exclusive intellectual property of XpediOo and is protected by copyright, trade secret, patent, and other applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service solely in accordance with your enterprise agreement and these Terms.
4.2 Customer Data
You retain all rights in and to data that you or your users upload to, or generate through use of, the Service ("Customer Data"). You grant us a limited licence to process Customer Data solely to provide and improve the Service, as described in our Privacy Policy and applicable enterprise data processing agreement.
4.3 Feedback
If you provide feedback, suggestions, or ideas regarding the Service, you grant us an irrevocable, royalty-free, worldwide licence to use, copy, modify, and incorporate such feedback into the Service without any obligation to you.
5. Privacy and Data Processing
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Enterprise customers who process personal data through the Service should contact us at [email protected] to execute a Data Processing Agreement as required by applicable data protection laws (including GDPR and UK GDPR).
6. Subscriptions and Payment
XpediOo is offered under enterprise subscription agreements negotiated separately with each customer organisation. Payment terms, subscription tiers, renewal periods, and refund policies are as specified in your applicable order form or master services agreement. In the event of conflict between these Terms and an executed enterprise agreement, the enterprise agreement will prevail.
7. Confidentiality
Each party agrees to maintain the confidentiality of the other party's non-public business, technical, or financial information disclosed in connection with the Service ("Confidential Information"), using at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care). Confidential Information does not include information that is or becomes publicly known through no fault of the receiving party, is independently developed by the receiving party, or is required to be disclosed by law or court order.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, XPEDIOO DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated outputs and recommendations are provided for informational purposes and should be reviewed by qualified personnel before being relied upon for business-critical decisions.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL XPEDIOO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF XPEDIOO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).
Some jurisdictions do not allow the exclusion or limitation of certain liabilities. In such jurisdictions, our liability is limited to the minimum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless XpediOo, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any Customer Data you submit to the Service.
11. Term and Termination
These Terms remain in effect for as long as you use or access the Service. We may suspend or terminate your access to the Service at any time if we reasonably believe you are in breach of these Terms or if required for legal, security, or operational reasons. Upon termination, all licences granted under these Terms will immediately cease.
Sections 4 (Intellectual Property), 7 (Confidentiality), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and 13 (General) will survive any termination of these Terms.
12. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide notice through the Service or by email. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the revised Terms.
13. General

Entire Agreement: These Terms, together with your applicable enterprise agreement and our Privacy Policy, constitute the entire agreement between you and XpediOo regarding the Service and supersede all prior agreements.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
